1. Agreement to These Terms
These Terms of Service (“Terms”) are a binding agreement between you and Dasfair LLC, doing business as Rydezi (“Rydezi,” “we,” “our,” or “us”). They govern your use of the Rydezi rider app, the Rydezi Driver app, our website, and any related services (together, the “Platform”).
By creating an account, requesting a ride, or accepting a ride request, you agree to these Terms. If you do not agree, do not use the Platform.
You must be at least 18 years old to use the Platform.
2. What Rydezi Is
Rydezi is a technology platform that connects riders seeking transportation with independent drivers willing to provide it in Cuyahoga County, Ohio.
Rydezi is not a transportation carrier. We do not own vehicles, and we do not employ drivers. Drivers using the Platform are independent contractors, not employees, agents, or partners of Rydezi. Rydezi does not direct or control the manner in which a driver performs a trip beyond what these Terms and applicable law require.
3. Accounts
Registration. You must provide accurate and complete information when creating an account, and keep it current. You are responsible for everything that happens under your account.
Security. Keep your login credentials confidential. Notify us at support@rydezi.com immediately if you believe your account has been compromised.
One account per person. You may not create multiple accounts, share your account, or allow another person to use it.
Verification. We may verify your identity, and for drivers we require documentation as described in Section 5. We may refuse, suspend, or terminate an account at our discretion, including where verification fails or where we believe the Platform is being misused.
4. Rider Terms
Requesting a ride. When you request a ride, you will be shown an estimated fare before you confirm. Once a driver accepts, a trip is formed between you and that driver.
Fares. The fare you are quoted at booking is the fare you pay. Rydezi does not adjust the fare afterward for traffic, detours, or additional time, except where the trip type is explicitly metered (for example rides booked without a destination). Fares consist of a base fare, a per-mile rate, a per-minute rate, applicable waiting charges, an airport fee for trips to or from Cleveland Hopkins International Airport, and any applicable taxes.
Payment. You may pay by card through the app or in cash directly to your driver, as selected when you book. Card payments are processed by Stripe; we do not store your full card number.
Cancellation. You may cancel a ride at no charge before a driver has been assigned. Once a driver is en route, a cancellation fee may apply, since the driver has already begun travelling toward you.
Your conduct. You agree to treat drivers with respect, to not damage or soil a vehicle, to comply with all applicable laws during a trip, and to not request that a driver break traffic laws or exceed vehicle capacity. You are responsible for the conduct of anyone travelling with you.
Ratings. You may rate your driver after a trip. Ratings help maintain platform quality. Abusive or retaliatory ratings may be removed.
5. Driver Terms
Independent contractor status. As a driver, you are an independent contractor. You control when, where, and whether you use the Platform. Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship.
Requirements. To drive on the Platform you must maintain, at all times:
- A valid driver’s license
- Current vehicle insurance meeting Ohio’s requirements for transportation network company drivers
- A vehicle in safe operating condition that meets our standards
- Any registration, permit, or licensing required by Ohio law or local ordinance
- Legal authorization to work
You must promptly notify us if any of the above lapses, expires, or changes. Driving on the Platform without current license and insurance is a material breach of these Terms.
Verification. We review submitted documentation before approving a driver account. Approval is not a guarantee of continued access; we may re-verify at any time and may suspend accounts pending review.
Earnings and commission. Rydezi retains a commission on each completed trip — 10% on Standard trips and 15% on Premium trips, calculated on the trip subtotal. The remainder is credited to your Rydezi wallet.
Cash trips. Where a rider pays cash, you collect the fare directly and the commission owed to Rydezi is recorded against your wallet balance. You are responsible for settling any negative balance.
Withdrawals. You may request withdrawal of your wallet balance, subject to any minimum withdrawal amount stated in the app. Withdrawals are processed manually by Rydezi and are typically completed within a reasonable period after request. You are responsible for providing accurate payment details.
Taxes. As an independent contractor, you are solely responsible for your own income taxes, self-employment taxes, and any other tax obligations arising from your earnings. Rydezi does not withhold taxes on your behalf.
Your conduct. You agree to provide safe, courteous service; to not discriminate against riders on any legally protected basis; to not operate the Platform while impaired; to not permit another person to drive under your account; and to comply with all traffic and transportation laws.
6. Prohibited Conduct
You may not, whether as a rider or driver:
- Use the Platform for any unlawful purpose
- Provide false information or impersonate another person
- Harass, threaten, or discriminate against any other user
- Damage, misuse, or attempt to gain unauthorized access to the Platform
- Interfere with, reverse engineer, scrape, or attempt to disrupt the Platform
- Manipulate fares, ratings, referrals, or incentives
- Transport unlawful items, or use the Platform to facilitate any crime
- Carry more passengers than the vehicle is licensed and equipped to carry
We may suspend or terminate access immediately for conduct that violates these Terms or that we reasonably believe endangers users.
7. Safety
We take safety seriously, but we cannot guarantee the conduct of any user. Riders and drivers interact at their own risk.
In an emergency, call 911 first. Report safety incidents to us at support@rydezi.com so we can investigate and take action on the account involved.
8. Fees, Taxes, and Changes to Pricing
Fares, commission rates, cancellation fees, and airport fees are as displayed in the app and may change. We will make reasonable efforts to notify users of material pricing changes in advance. Applicable state and local taxes may be added to fares where required by law.
9. Intellectual Property
The Platform, including its software, design, branding, and content, is owned by Dasfair LLC and protected by intellectual property law. You are granted a limited, revocable, non-exclusive, non-transferable license to use the apps for their intended purpose. You may not copy, modify, distribute, or create derivative works from any part of the Platform.
10. Third-Party Services
The Platform relies on third-party services including Google Maps for navigation, Firebase for real-time dispatch and notifications, and Stripe for payment processing. Your use of the Platform is also subject to those providers’ terms. We are not responsible for the acts, omissions, or availability of third-party services.
11. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, error-free, or that a driver will be available at any given time or place. We do not guarantee the quality, suitability, or safety of any driver, rider, or vehicle.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RYDEZI AND DASFAIR LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO RYDEZI IN THE SIX MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Indemnification
You agree to indemnify and hold harmless Dasfair LLC, its officers, and its representatives from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising out of your use of the Platform, your breach of these Terms, your violation of any law, or your infringement of the rights of another.
14. Termination
You may stop using the Platform and request account deletion at any time via the app or by contacting support@rydezi.com.
We may suspend or terminate your access at any time, with or without notice, for breach of these Terms, for conduct we reasonably believe is unsafe or unlawful, or where required by law. Sections that by their nature should survive termination — including Sections 9, 11, 12, 13, and 15 — will survive.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio, and you consent to the jurisdiction of those courts.
Informal resolution first. Before filing any claim, you agree to contact us at support@rydezi.com and attempt to resolve the dispute informally for at least thirty (30) days.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you through the app or by email. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
17. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and Rydezi regarding the Platform.
Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
18. Text Messaging (SMS)
By providing your mobile phone number and requesting a verification code, you consent to receive one-time passcode (OTP) text messages from Rydezi. Message frequency varies — typically one message per login or verification request. Message and data rates may apply. Reply STOP to opt out of text messages; reply HELP for assistance, or contact support@rydezi.com. Opting out of SMS may prevent login by phone verification.
